Pension Plans

 

  • All filings for pension plans must be made using the Registration and Licensing System: https://fcaa.saskatchewan.ca 
  • Payments above $2,500 must be sent by courier.
  • Payments below $2,500 may be paid using the Registration and Licensing System or must be sent by courier.
  • Note: The Canada Revenue Agency may assess a late filing penalty if an annual information return is not filed by the filing deadline.

 


 

Securities Industry Participants

 

Corporate Finance Filings

  • There is no change in filing requirements in the event of a postal strike. For Corporate Finance filings, most companies and investment funds already file these documents electronically through SEDAR, or SEDI and there is public access to these filings at www.sedar.com and www.sedi.ca
  • Companies and individuals that need to submit filings that are not required to be made     electronically on SEDAR or SEDI, should send them via email to tony.herdzik@gov.sk.ca, by fax (306) 787-5899 or by courier.  

 

Relief From Requirement To Deliver Financial Statements And Related Disclosure 

  • For Issuers:  Under General Order 11-501, a company is exempt from the requirement to deliver financial statements and MD&A to its shareholders, provided that the company:
    • complies with its filing requirements;
    • issues a news release notifying shareholders that the disclosure is available on-line and will be sent to shareholders who request copies; and
    • sends the documents to shareholders once postal service resumes.
  • For investment funds: General Order 11-502 contains a similar exemption from the requirement to deliver financial statements and management reports of fund performance to security holders. 
  • Affected companies and investment funds should refer to these instruments and review the conditions carefully to determine if they are eligible for the relief.  

 

Registration Filings, Reporting and Notifications 

  • No changes to National Registration Database electronic submissions. 
  • All other required filings, reporting and notifications should be sent to Capital Markets Branch by email to registrationFCAA@gov.sk.ca, by fax (306)787-5899 or by courier.
  • Reminder:  registrants must make reasonable efforts to send clients their trade confirmations, account statements and other reporting in a timely way.

 

Applications For Relief From Requirement To Deliver Other Documents 

  • FCAA will consider applications for relief from the requirements to deliver other documents to shareholders and other parties, such as proxy-related materials and bid circulars. We will consider these applications on a case-by-case basis. In cases where relief is urgently needed, FCAA will attempt to deal with such applications on an expedited basis. We encourage companies to consult with their service providers and legal advisers as to alternate delivery options for proxy-related materials.

 

Cheques Normally Mailed to FCAA 

  • Any cheques normally mailed to FCAA should instead be couriered.
