Securities – Multilateral CSA Staff Notice 51-343 Venture Issuers with Securities Listed on the Bolsa de Santiago, Venture Market

April 16, 2015 - The securities regulatory authorities in British Columbia, Alberta, Saskatchewan, Quebec, Nova Scotia and New Brunswick have adopted a substantially harmonized blanket order to address issuers with securities listed on both the TSX Venture Exchange and the Bolsa de Santiago, Venture Market (Santiago Venture Market). Saskatchewan General Order 51-911 provides an exception or exemption to the foreign listing restriction if the securities are listed on the Santiago Venture Market.

Securities – Multilateral CSA Notice 45-315 - Proposed Prospectus Exemption for Certain Distributions through an Investment Dealer

April 16, 2015 - The securities regulatory authorities in British Columbia, New Brunswick and Saskatchewan (the participating jurisdictions or we) are each publishing for comment a proposed prospectus exemption (proposed exemption) that would, subject to certain conditions, allow issuers listed on a Canadian exchange to raise money by distributing securities to investors who have obtained advice about the suitability of the investment from an investment dealer.

This notice summarizes the terms of the proposed exemption and includes a request for comment.  Comment period ends June 15, 2015

Securities – CSA Notice and Request for Comment - Proposed Amendments to MI 11-102, proposed new NP 11-206 and NP 11-207, and proposed replacement policies NP 12-202 and NP 12-203

April 16, 2015 - The Canadian Securities Administrators (CSA), except for Ontario, are publishing for comment proposed amendments to Multilateral Instrument 11-102 Passport System.

The CSA (including the OSC), are publishing for comment two new policies, proposed National Policy 11-206 Process for Cease to be a Reporting Issuer Applications and National Policy 11-207 Failure-to-File Cease Trade Orders and Revocations under Passport, and two replacement policies National Policy 12-202 Revocations of Non-Passport Cease Trade Orders and National Policy 12-203 Management Cease Trade Orders .

The comment period ends June 15, 2015.

Securities – CSA Notice of Amendments to NI 51-102 Continuous Disclosure Obligations, NI 41-101 General Prospectus Requirements and NI 52-110 Audit Committees

April 9, 2015 - We, the Canadian Securities Administrators (the CSA or we), are implementing amendments to: 

  • National Instrument 51-102 Continuous Disclosure Obligations (NI 51-102),
  • National Instrument 41-101 General Prospectus Requirements (NI 41-101), and
  • National Instrument 52-110 Audit Committees (NI 52-110) (the Amendments).

We are also implementing changes to: 

  • Companion Policy 51-102CP to NI 51-102 (51-102CP), and
  • Companion Policy 41-101CP to NI 41-101 (41-101CP).  

The Amendments and policy changes have been made by each member of the CSA.  Provided all necessary ministerial approvals are obtained, the Amendments and policy changes will come into force on June 30, 2015.
