Securities – CSA Multilateral Notice 45-317 Amendments to Start-up Crowdfunding Registration and Prospectus Exemptions

January 25, 2016 -  The securities regulatory authorities of Saskatchewan, Manitoba, Québec, New Brunswick and Nova Scotia (the jurisdictions) are adopting amendments to the substantially harmonized local blanket orders (the start-up crowdfunding exemption orders) that implement the start-up crowdfunding registration and prospectus exemptions (the start-up crowdfunding exemptions) in their jurisdiction.

The jurisdictions have implemented, or expect to implement, the amendments to the start-up crowdfunding exemptions by amending or replacing their local start-up crowdfunding exemption order initially adopted on May 14, 2015.

The amendments to the start-up crowdfunding exemptions will be effective in each jurisdiction concurrently with, or as soon as possible after, the publication of this notice.

Securities – Notice of Approval MI 45-108, CP 45-108, Consequential Amendments to NI 45-102

January 25, 2016 - The Financial and Consumer Affairs Authority of Saskatchewan (FCAA) is publishing in final form Multilateral Instrument 45-108 Crowdfunding (MI 45-108) which includes a crowdfunding prospectus exemption and a registration framework for funding portals.  We are also making consequential amendments to National Instrument 45-102 Resale of Securities (NI 45-102).

Subject to obtaining all necessary ministerial approvals, the regulations will come into force on the day on which they are filed with the Registrar of Regulations.

January 22, 2016 - The securities regulatory authorities in Alberta, British Columbia, New Brunswick, Newfoundland and Labrador, the Northwest Territories, Nova Scotia, Nunavut, Prince Edward Island, Saskatchewan and Yukon (We) are adopting Multilateral Instrument 91-101 Derivatives: Product Determination and Multilateral Instrument 96-101 Trade Repositories and Derivatives Data Reporting (together the Instruments).

In addition, we are implementing Companion Policy 91-101CP Derivatives: Product Determinationand Companion Policy 96-101CP Trade Repositories and Derivatives Data Reporting.

Subject to ministerial approval, the Instruments will come into effect in Saskatchewan on May 1, 2016

Securities – Multilateral CSA Notice 45-318 Prospectus Exemption for Certain Distributions through an Investment Dealer

January 14, 2016 - The securities regulatory authorities in British Columbia, Alberta, Saskatchewan, Manitoba and New Brunswick (the participating jurisdictions or we) are each adopting a prospectus exemption (exemption) that, subject to certain conditions, allows issuers listed on a Canadian exchange to raise money by distributing securities to investors who have obtained advice about the suitability of the investment from an investment dealer.

Saskatchewan has adopted the exemption by way of General Order 45-930 Exemption from prospectus requirement for certain distributions through an investment dealer in Saskatchewan.

The exemption will be effective in each participating jurisdiction concurrently with, or as soon as possible after, this notice. Each participating jurisdiction has attached their form of exemption as Annex A to this notice.

January 14, 2016 - The Financial and Consumer Affairs Authority of Saskatchewan has approved General Order 45-930 Exemption from prospectus requirement for certain distributions through an investment dealer.

This Order exempts some issuers from the prospectus requirement for certain distributions through an investment dealer.  The exemption comes into effect on January 14, 2016.
