Securities – Amendment of General Order 45-538 Self-Certified Investor Prospectus Exemption

March 22, 2024 – Today, the Financial and Consumer Affairs Authority of Saskatchewan (FCAA) and the Alberta Securities Commission (ASC) published amendments to FCAA General Order 45-538 Self-Certified Investor Prospectus Exemption and ASC Blanket Order 45-538 Self-Certified Investor Prospectus Exemption

The exemption allows purchasers who do not meet the financial thresholds to qualify as an accredited investor, to invest alongside accredited investors, continuing to offer greater flexibility to businesses and investors in Alberta and Saskatchewan. Purchasers must self-certify that they meet other criteria intended to demonstrate their financial and investment knowledge. The amendments removed the April 1, 2024 expiry date and revised phrasing in Annex 2 to align more closely with the accredited investor language on which it is based. The variations are effective April 1, 2024.
