September 29, 2016 - Staff of the Canadian Securities Administrators have prepared this revised Staff Notice (this Notice) to assist issuers, underwriters and their advisors in preparing and filing reports.

Securities – CSA Multilateral Staff Notice 58-308 Staff Review of Women on Boards and in Executive Officer Positions – Compliance with NI 58-101 Disclosure of Corporate Governance Practices

September 28, 2016 - On September 28, 2015, we published CSA Multilateral Staff Notice 58-307 Staff Review of Women on Boards and in Executive Officer Positions – Compliance with NI 58-101 Disclosure of Corporate Governance Practices (the Year 1 Notice). The Year 1 Notice summarized the findings of our review of the corporate governance disclosure of 722 issuers as it relates to the WB/EP Rules (the sample included all issuers having year-ends between December 31, 2014, and March 31, 2015 that released disclosure on corporate governance by July 31, 2015).

Staff in the Participating Jurisdictions (or we) are publishing this notice to: 

  • report the findings of our review of the corporate governance disclosure of a sample comprising 677 non-venture issuers relating to the WB/EP Rules, and
  • draw comparisons between our current sample and the sample from last year.

Securities – CSA Staff Notice 11-332 Cyber Security

September 27, 2016 - The CSA is publishing this Notice on cyber security in order to further highlight the importance of cyber risks for Market Participants; inform stakeholders about recent and upcoming CSA initiatives; reference existing standards and work published, including work published by the Investment Industry Regulatory Organization of Canada (IIROC), the Mutual Fund Dealers Association of Canada (MFDA) and international regulatory authorities and standard-setting bodies; communicate general expectations for Market Participants with respect to their cyber security frameworks; and examine ways to coordinate communication and information sharing between regulators and Market Participants.

Securities – CSA Notice and Request for Comment - Modernization of Investment Fund Product Regulation - Alternative Funds

September 22, 2016 - The Canadian Securities Administrators (the CSA or we) are publishing for a 90-day comment period: 

  • the proposed repeal of National Instrument 81-104 Commodity Pools (NI 81-104) 
  • proposed amendments to:
    • National Instrument 81-102 Investment Funds (NI 81-102),
    • National Instrument 81-101 Mutual Fund Prospectus Disclosure (NI 81-101), including Form 81-101F3 Contents of Fund Facts Document (the Fund Facts), 
  • proposed consequential amendments to:
    • Form 81-101F1 Contents of Simplified Prospectus and Form 81-101F2 Contents of Annual Information Form,
    • National Instrument 81-107 Independent Review Committee for Investment Funds (NI 81-107),
    • National Instrument 41-101 General Prospectus Requirements (NI 41-101), including Form 41-101F2 Information Required in an Investment Fund Prospectus (Form 41-101F2), and
    • National Instrument 81-106 Investment Fund Continuous Disclosure (NI 81-106).

In addition, we are publishing proposed changes to Companion Policy 81-102CP Investment Funds and proposing to withdraw Companion Policy 81-104CP Commodity Pools.

The comment period ends December 22, 2016.

Securities – CSA Staff Notice 31-346 Guidance as to the Scope of the International Dealer Exemption in Relation to Foreign-Currency Fixed Income Offerings by Canadian Issuers

September 1, 2016 – The Canadian Securities Administrators (the CSA) are aware of reports by some market participants of a perceived decline in liquidity in Canadian fixed income markets, and understand that some market participants have suggested that recent changes in the securities regulatory regime in Canada may have contributed to this perceived decline. Accordingly, the CSA is publishing this guidance to clarify the scope of the international dealer exemption in NI 31-103 and to confirm staff’s willingness to support exemptive relief, if required, to facilitate access to global fixed income markets by Canadian issuers and Canadian institutional investors.
