Securities - CSA Staff Notice and Consultation 11-348, Applicability of Canadian Securities Laws and the use of Artificial Intelligence Systems in Capital Markets

December 5, 2024 - The Canadian Securities Administrators published CSA Staff Notice and Consultation 11-348, Applicability of Canadian Securities Laws and the use of Artificial Intelligence Systems in Capital Markets.

CSA is posting this to provide clarity and guidance on how securities legislation applies to the use of AI systems by market participants including registrants, non-investment fund reporting issuers, marketplaces and marketplace participants, clearing agencies and matching service utilities, trade repositories, designated rating organizations and designated benchmark administrators. This Notice outlines selected requirements under securities law that market participants should consider during an AI system’s lifecycle  and provides guidance on how we interpret them in this context. Guidance provided in this Notice is based on existing securities laws and does not create any new legal requirements, nor modify existing ones.

The comment period ends March 31, 2025.

December 4, 2024 - The Financial and Consumer Affairs Authority of Saskatchewan is publishing the Coordinated Blanket Order 51-931 Temporary Exemptions for certain proxy-related Materials during postal strike in respect of National Instrument 51-102 Continuous Disclosure Requirements and National Instrument 54-101 Communication with Beneficial Owners of Securities of a Reporting Issuer and CSA Notice regarding Coordinated Blanket Order 51-931 Temporary Exemption from Requirements in National Instrument 51-102 Continuous Disclosure Requirements and National Instrument 54-101 Communication with Beneficial Owners of Securities of a Reporting Issuer to Send Certain Proxy-Related Materials During a Postal Strike.

Due to the suspension of postal service, reporting issuers are currently unable to deliver proxy-related materials using Canada Post. Courier delivery may be cost-prohibitive and may not be a feasible alternative in any case, since we understand that couriers may not be accepting high-volume delivery requests and may be unable to deliver to post office boxes. Electronic delivery can only be effected where shareholders have consented and provided e-mail addresses.

Given that a number of reporting issuers have scheduled meetings for annual matters in accordance with their corporate law or exchange requirements, and it is unclear when the postal suspension will end, the CSA is taking the extraordinary step of providing temporary relief from the requirement to deliver proxy-related materials for such meetings.

Securities - Canadian securities regulators publish summary of 2024 Systemic Risk Survey results

MONTRÉAL AND TORONTO – The Canadian Securities Administrators (CSA) today published a summary of the results from its third annual systemic risk survey. The results of this survey provide the CSA with important information on market participants’ views about the stability of the Canadian financial system. 

The survey was completed by 536 Canadian portfolio managers and investment dealers between October 10 and November 4, 2024. Overall, respondents indicated that they were less concerned about Canadian financial stability than last year. In addition, concern about the level of interest rates fell sharply in this year’s survey and was no longer the top concern for market participants. A likely key factor to this change was the recent and expected reductions in interest rates. Their main concerns at the time of the survey were household debt, cyber vulnerabilities, the geopolitical environment, and the housing market.

“It's encouraging to see the results from our third systemic risk survey, which indicates a positive view of financial stability in the Canadian capital markets,” said Stan Magidson, CSA Chair and Chair and CEO of the Alberta Securities Commission. “We would also like to acknowledge the industry for their participation. With year-over-year growth in survey participation, we are able to gather critical information on changing risk perceptions in this new interest rate environment.”
